TERMS AND CONDITIONS

PRIVACY POLICY

Users are hereby informed that the following Terms and Conditions apply by simply using or accessing any of the pages, web and mobile applications, software, and general applications that comprise the Portal www.haitianmexico.com (hereinafter, collectively and interchangeably referred to as the “Portal”), and therefore it is understood that you accept and agree to comply with them. If you do not agree with these Terms and Conditions, you must refrain from accessing or using the Portal.

HAITIAN HUAYUAN MEXICO MACHINERY and/or its subsidiaries, parent companies, related parties, and affiliates (hereinafter collectively and interchangeably referred to as the “Company”) reserve the right to discretionally modify the contents of the Portal at any time without prior notice.

The User, defined as the person who uses or accesses the Portal via computer and/or any communication equipment or device (hereinafter the “User”), agrees not to use devices, software, or any other means to interfere with the activities and/or operations of the Portal, or the databases and/or information contained therein.

USE AND RESTRICTIONS
Access to or use of the Portal implies full and unreserved acceptance by the User of these Terms and Conditions. Through the Portal, the User will access, contract, and/or use various services and content (the “Services and Content”) made available by the Company. The Company may deny, restrict, or condition the User’s access to the Portal, in whole or in part, at its sole discretion, and may also modify the Services and Content at any time without prior notice.

The User acknowledges that not all Services and Content are available in all geographic areas, and that some Services and Content may only be used following registration, activation, or payment by the User. The Company does not guarantee the availability or continuity of the Portal’s operation or the Services and Content, nor the usefulness of the Portal or its Services and Content for any particular purpose. The Company shall not be liable for any damage or loss resulting from lack of availability or continuity.

The use of Services and Content on the Portal is the sole responsibility of the User, who must use them in accordance with the functionalities allowed by the Portal and the authorized uses defined in these Terms and Conditions. The User agrees to use them in ways that do not violate good conduct, third-party rights, Internet norms and coexistence, or applicable Mexican law or the laws in the jurisdiction where the User is located. The Portal is for individual use only and may not be commercialized.

RESTRICTIONS
The User has no right to place hyperlinks within the Portal, to use Portal links, or to place or use Services and Content on their own or third-party sites without prior written authorization from the Company. The User may not prevent any other User from using the Portal or the Services and Content.

INTELLECTUAL PROPERTY
All intellectual and industrial property rights regarding the Services and Content, trademarks, and domains of the Pages or Portal, as well as all associated rights (including, but not limited to, disclosure, publication, reproduction, distribution, and transformation) belong exclusively to the Company. The User does not acquire any intellectual or industrial property rights through use or access and such access shall not be considered a license or authorization for any other use.

THIRD-PARTY INTELLECTUAL PROPERTY
The provisions of the previous clause regarding the Company’s ownership also apply to third-party rights regarding Services and Content linked to or presented on the Portal.

SERVICE AND CONTENT QUALITY AND WARRANTIES
Neither the Company nor its providers or business partners shall be liable for any damage or loss resulting from inaccuracies, consultations, advice, typographical errors, or changes/improvements made periodically to the Services and Content. Recommendations and advice obtained through the Portal are general and should not be relied upon for personal or professional decision-making. For such purposes, consult a qualified professional.

The Company offers Services and Content with a commercially reasonable level of skill and care, but does not make any specific guarantees. The Portal is provided “as is” and “as available.” The Company makes no representations or warranties regarding operation, information, content, materials, or products. The User expressly agrees to use the Portal at their own risk. The Company reserves the right to remove or delete information from the Portal at any time at its discretion.

The User agrees to hold the Company and its shareholders, subsidiaries, affiliates, officers, directors, employees, advisors, attorneys, and any related parties harmless from any liability related to use of the Portal, Services and Content, or arising from these Terms and Conditions.

The User understands that the Company’s liability, if any, will be limited to the amount paid for the Services and Content.

5.1 RETURNS AND CANCELLATIONS
Users may cancel Services and Content acquired on the Portal at any time at their discretion and without liability. Charges to debit or credit cards are non-refundable and are subject to the terms of the payment service providers.

5.2 SUBSCRIPTIONS
Some Services and Content may require user registration and an active valid automatic payment method. The User may modify or cancel the payment method at any time and is subject to the terms and conditions of the payment platform.

5.3 SHIPMENTS
The Company is not responsible for any delays or failures in shipments handled by third parties. The User assumes the risks and is subject to the service provider’s terms.

THIRD-PARTY GOODS AND SERVICES
Offering information on the Portal or other linked sites does not imply endorsement, guarantee, or approval by the Company. The Company is not responsible for goods or services offered by third parties or linked sites. The Company merely: (i) informs the User, and (ii) provides contact means with suppliers.

Products and services marketed on the Portal and/or third-party sites are provided by independent merchants, and the Company bears no responsibility. There is no employment, association, or partnership between the Company and said third parties. All advice and content on linked third-party pages represent their own opinions and judgments; the Company is not liable for any resulting damages.

CONFIDENTIALITY
The Company agrees to keep confidential any information from the User designated as such, in accordance with applicable Mexican law. The Company assumes no obligation to keep confidential any other information.

USE OF NON-CONFIDENTIAL INFORMATION
By using the Portal, the User authorizes the Company to use, publish, reproduce, disclose, and transmit non-confidential information under the applicable laws including, but not limited to, the Federal Law on Protection of Personal Data Held by Private Parties, the Federal Copyright Law, and the Federal Consumer Protection Law.

COOKIES
The User agrees to receive files (“Cookies”) transmitted by the Company’s servers. A Cookie is a data file stored on the User’s hard drive when accessing the Portal. Cookies may contain User identification or page visit information. Cookies cannot read hard drive data or those created by other websites.

Cookies are usually accepted automatically, but Users can change their browser settings. If Cookies are rejected, parts of the Portal may not function properly or at all.

PERSONAL DATA PRIVACY NOTICE

ACCESS KEYS
The User is solely responsible for keeping access credentials confidential and secure.

11.1 ACCOUNTS
By creating an account, the User declares they are at least 18 years old or the legal age in their jurisdiction. The User is responsible for all activity on their account and accepts these Terms and Conditions and the Privacy Notice.

MODIFICATIONS
The Company may modify these Terms and Conditions at any time without prior notice or consent. Users should review them regularly. Some Services and Content may have specific conditions that supplement or override these Terms. Users should review them before using such Services.

APPLICABLE LAW AND JURISDICTION
For interpretation, compliance, and enforcement, the User agrees that the applicable laws are those of the United Mexican States and that courts in Benito Juárez, Mexico City, shall have jurisdiction, waiving any other jurisdiction.
